HModa buys 60% of Fustellificio Toscano, consolidating its position in the world of leather goods and intermediate processing

Hind's subholding buys a majority stake in the Tuscan company specializing in high-quality leather cutting and processing dies and accessories, with a wide range of services for the
major luxury fashion houses.

With this new operation, HModa thus expands and integrates its offer in the world of intermediate processing, continuing its industrial path of investment in the excellence of the Italian fashion supply chain

HModa announces the acquisition of a 60% stake in Fustellificio Toscano S.r.l., a company specializing in high-quality specialty processing for the leather goods and footwear sectors, active in particular in the production of die-cuts and offering services such as printing, milling, cutting and high-frequency processing. Finalized through GAB, leader of the leather goods segment and entered HModa in August 2021, with this new operation HModa continues to expand its distinctive competencies with a new reality representative of the excellence of Made in Italy, also strengthening its positioning in the leather goods and intermediate processing segment.

Founded in 1976 in Valdarno, Fustellificio Toscano is a family business that has embarked on a path of innovation while preserving the authentic value of quality craftsmanship. Under the leadership of Leonardo Naldini, current CEO, and son of the founder, Ugo Naldini, the company has invested in important assets, including new plants and technologies to increase productivity and diversify its offerings, which currently include the production of leather cutting dies in the various product categories (leather goods, footwear, belting and small leather goods) and different types of printing (including high-frequency), milling and cutting. With a new 4,200-square-meter plant and research center opened last January in Pian dell’Isola, in the Figline and Incisa Valdarno area, Fustellificio Toscano operates with a workforce of about 70 employees and a 2023 turnover of about 8 million euros.

A new organizational structure for HModa that enhances collaboration with entrepreneurs in investee companies

The new strategic structure will have four business units for increasingly shared and integrated governance among the 16 Group companies.

Hind announces also end the collaboration with Giulio Guasco, who participated in the growth of the Group during his tenure as CEO. 

Hind SpA announces the end of its collaboration with Mr. Giulio Guasco, who has chosen to pursue other personal goals, and presents the new organizational structure of HModa, a pole of excellence active in all segments of the Italian fashion supply chain.

During Mr. Giulio Guasco’s tenure as CEO, HModa has transformed from a vision into a concrete reality in the Made in Italy manufacturing scene, becoming a group of 16 manufacturing excellences with more than 1,500 employees and a turnover of more than 300 million euros.

 

Claudio Rovere, Chairman and Founder of Hind Spa, commented, “I would like to express my gratitude to Giulio Guasco for his contribution to the results achieved in recent years. In light of the Group’s strong growth and evolution, a new organizational structure has been created where the core business of all companies is centralized (according to the area to which they belong) within one of 4 strategic Business Units: apparel, footwear, leather goods and textiles.

Each Business Unit will be headed by a Group entrepreneur, who will be responsible for being a reference for his or her area, supported by President Claudio Rovere, and will coordinate with the other Business Units so as to ensure synergy and collaboration to achieve common goals.

In this new organizational structure, Claudio Rovere, founder and President of HModa, will continue to maintain the role of strategic direction and coordination of the Group’s entrepreneurs.

Claudio Rovere said, “The HModa Group is expanding, both in terms of turnover and people, which is why it needs an even more efficient and organized structure capable of making the most of all the companies that are part of it. Holding Moda (HModa) announces the acquisition of 100% of PuntoArt S.r.l., a company specialized in embellishment, embroidery and decorations on fabric. Finalized through Rilievi, leader of the embellishment segment and entered HModa in September 2022, this operation brings HModa to strengthen its positioning in the segment, welcoming another reality representative of the excellence of Made in Italy.

Founded in San Mauro Pascoli (FC) in 1981 with an initial focus on embroidery, PuntoArt later expanded its expertise to specialize in all major forms of contemporary decorating. Under the leadership of the founder, Franca Pironi, flanked by her husband Paolo Raggini, the company has grown over the years, focusing on innovation with continuous investments in new technologies aimed at diversifying its offerings and increasing productivity. Today PuntoArt is distinguished by a wide range of workmanship that embraces both traditional and cutting-edge techniques: from precision laser cutting to refined engravings, passing through the elegance of Cornely and the art of macramé, to heat-sealing and stud work. With a staff of about 30 people, PuntoArt had a turnover of about 2.5 million euros in 2023.

With the arrival of PuntoArt, HModa now boasts a diversified portfolio of 17 participated companies, including Uno Maglia (jersey workings), Alex&Co. (leather garments), RBS (outerwear), Albachiara (women’s lightweight apparel), GAB (leather goods), Project (denim), Valmor and Dema (footwear), Famar (women’s menswear), Rilievi and Punto Art (embellishment and embroidery), Seriscreen (screen printing and printing on leather and textiles), Beste (textile and clothing production), Elledi (uppershop), Lanificio Arca (wool and cashmere shuttle weaving), Taglionetto and Emmetierre (small leather goods).

Rilievi and HModa were assisted by STPG, through STPG – Scouting Capital Advisors as financial advisor, and by PWC as legal advisor with a team led by attorneys Filippo Zucchinelli and Giulio Della Casa while due diligence was handled by Studio Brini of Bologna for tax aspects, and by HRSTP of Bologna for labor law aspects. PuntoArt was assisted by Studio Cauli, Marmocchi, Orsini & Associati of Bologna, with a team composed of Dr. Claudio Orsini, in the role of financial advisor, and Dr. Luisa Pasquali, in the role of tax advisor, and Studio Legale Bontempi of Faenza as legal advisor.

The role of Made in Italy in the context of global luxury: Minister Olivia Grégoire's visit to Beste SpA, an HModa Group company

Beste – a company of the HModa Group and a point of reference in the Italian and international panorama for textile production and garment making – welcomed in the afternoon of Monday, April 15 2024, the Minister of the French Government for Business, Tourism and Consumer Affairs, Olivia Grégoire for a visit to the different production sites in Cantagallo and Prato. In the production scenario, Beste stands out for having built its own fully controlled and traceable production chain since 2001, thus interpreting the excellence of Made in Italy in the luxury sector at the international level.

HModa acquires Florence-based Emmetierre and expands expertise in leather goods

Hind's subholding finalizes the acquisition of 100% of the Tuscan companies Emmetierre and Fast Pelle specializing in small leather goods, handbags and leather accessories, which have been serving the most important national and international luxury fashion houses for more than 40 years.

With this new operation, which flanks those of Gab (2021) and Taglionetto (2023), HModa diversifies and consolidates its positioning in the leather goods sector, continuing on its industrial path of investing in the excellence of the Italian fashion supply chain.

Holding Moda (HModa) has acquired 100% of Emmetierre and Fast Pelle, Florentine artisan companies specializing in the production of small leather goods and handbags for leading international luxury brands.

With this operation, HModa strengthens its presence in the leather goods segment, a sector already manned with the acquisitions of Gab (2021) and Taglionetto (December 2023), integrating specialized know-how and covering all the main types of leather processing. Investments are also already planned to enhance the synergy between the three companies, with Gab dedicating a space of about 4,000 square meters to Emmetierre, Fast Pelle and Taglionetto inside its new headquarters in Campi Bisenzio, with the aim of optimizing most of the activities into a single hub of excellence in leather goods by June 2024.

Based in Scandicci, in the province of Florence, Emmetierre has developed in the small leather goods segment since its founding in 1981. From a joint initiative of Fabio Tombelli and Stefania Romagnoli and the integration of Fast Pelle, a company specializing in cutting and preparation, over the years the company has expanded its product range to meet market needs. To date, it also includes leather handbags and accessories such as men’s and women’s wallets, clutches and pouches, mini-bags, key fobs, headphone cases, card cases, document holders, and the like, all designed and packaged in-house for high-end luxury brands. Emmetierre and Fast Pelle currently boast a staff of 37 highly skilled people.

Claudio Rovere, founder and chairman of Hind, said, “Through the integration of 100 percent of Emmetierre and Fast Pelle, HModa Group continues on its industrial path of investing in the excellence of Made in Italy. This new operation is part of a strategic project to develop leather processing, which boasts significant growth potential. The specific industrial project will be coordinated by Gab, a key company of the group as early as 2021, which will now be able to count on a total workforce of 260 employees, of which about a hundred will be new professionals resulting from the recent integrations of Emmetierre, Fast Pelle and Taglionetto.”

Holding Moda (HModa) announces the acquisition of a majority stake in Calzaturificio Dema S.r.l., a Caserta-based shoe manufacturer specializing in high-quality moccasins and sneakers. Two years after the acquisition of the Marche-based Valmor, the deal allows Hind to consolidate its stronghold in the footwear segment and expand its product offering in the high-end segment, coming to count among its ranks the first company located in Campania, an area rich in excellence of great value for the world of fashion and luxury Made in Italy.

Founded in 1989 by an initiative of Giovanni De Simone with a specialization in moccasins, Calzaturificio Dema has later expanded production to all the main types of footwear and workmanship, from sneakers, strobel and fitted, to ankle boots and sandals. Following the entry of sons Italo, Paolo and Danilo into the company in 2015 and the integration of part of the supply chain with the founding in 2021 of the Alinea upper factory, the company has experienced steady development, as well as strategic partnerships with some of the most important luxury brands at the Italian and international level. With a workforce of about 150 people between Dema and Alinea, Dema’s consolidated turnover in 2022 was about 22 million euros, producing more than 1,100 pairs of shoes per day.

HModa continues to invest in supply chain with acquisition of 4 labs

With this new operation, the Group invests in the territory to strengthen the vertical supply chain offering with a sustainable approach

Holding Moda (HModa) announces the acquisition of four laboratories, already suppliers to its subsidiaries, with the aim of even greater supply-chain integration and optimization.

Among the latest additions to the Group are Manifattura Lendinarese, a historic supplier to the RBS company located in the province of Rovigo that specializes in sportswear and other garments; Taglio Netto, a workshop in Calenzano (Florence) that has long collaborated with GAB and produces high-quality small leather goods such as belts, wallets, clutches and other items destined for high-fashion collections; and Tomaificio Elledi based in Pomigliano D’Arco (Naples), which specializes in uppers and hemming processes. These acquisitions are joined by Tessitura Arca of Prato, which specializes in soft accessories and joined Beste last July.

The acquisitions are part of a broader project of commitment to strengthening the fashion supply chain, highlighted by “The Ghost Makers” project, conceptualized to spread and grow a culture of sustainability among its laboratories in order to guarantee the group’s clients a certifiable and transparent supply chain. Launched in February 2022, “The Ghost Makers” is part of HModa’s cultural and value-based ESG path aimed at enhancing the excellence of “Made in Italy” in order to offer international luxury fashion houses a certifiable supply chain that is creative and rich in the highest level of expertise.

Giulio Guasco, Board Member of Hind, said, “HModa continues on its path of internalizing the supply chain, which is increasingly vertical and integrated, in support of the service we offer our customers. Beste joins HModa industrial aggregation project

Holding Industriale (HIND) completes the integrated and sustainable Made in Italy supply chain with the acquisition of textile and apparel manufacturer Beste, the eleventh company to join HModa.

The Group continues on its path of aggregating manufacturing excellence in the fashion sector with the investment in the Prato-based company specializing in fabric production and regeneration, for a km0 supply chain.
